THE INEIGHT CHAMPIONSHIP (“CHAMPIONSHIP”)

GIVES INEIGHT CLIENTS THE OPPORTUNITY TO SHOW THE INDUSTRY THEIR EXCEPTIONAL PROJECT ACCOMPLISHMENTS.

1. Eligibility

To be eligible to participate in the Championship, you must be a current client of InEight, Inc., or its subsidiaries (collectively “InEight”). [Officers, directors and employees of InEight and its parent companies, subsidiaries, and affiliates (entities under common control with InEight) are not eligible to participate in this Championship. Governmental or municipal bodies or agencies and their employees are also not eligible to participate in this Showcase.]

InEight will have the right at any time to require proof of eligibility to participate in the Championship. Failure to provide such proof may result in disqualification from the Championship. All information requested by, and supplied to, the InEight for the purpose of the Championship must be truthful, complete, accurate and in no way misleading. InEight reserves the right, in its sole discretion, to disqualify any Participant should such Participant at any stage supply untruthful, incomplete, inaccurate, or misleading details and/or information.

2. General Championship Details

This Championship is being conducted by InEight for the purpose of engaging with its clients and to showcase 8 projects performed by an InEight client (“Top 8”) with one of the Top 8 selected as the ultimate top project (“Top Project”). This Championship is designed to highlight standout completed projects by our client teams. Key criteria for a Project to be considered for selection by InEight as a Top 8 project:

• Must have been completed within the last two (2) years, or projects that are nearing completion that have achieved significant milestones;
• Project should demonstrate ingenuity, complexity and/or project impact
• Do not include anyone’s Personal Information in the submission, provided Participant may include that Personal Information necessary for InEight to communicate with Participant in the Championship.
• Do not include any proprietary information that you do not have full right to grant InEight the right to use. Accordingly, you must possess full legal right to provide all content in the submission for InEight to use in this Championship as provided below.

Each submission will be reviewed for clarity, visual strength, quality and eligibility as determined by InEight.  InEight will select the Top 8 projects to be showcased, for then a selection of the top project through public voting. Voting will be in a head-to-head matchup format, each matchup lasts for approximately one week, and the winner of each matchup is determined by total number of votes. Each project selected in the matchup will advance to the next matchup until only one project remains – Top Project.

3. How to Participate in the Championship

To participate in this Championship, persons eligible to participate must: (i) consent to these Terms; (ii) complete the online submission form including all required information; (iii) only submit its original content, and have all rights necessary to all content in its submission for use as set forth in these Terms, including without limitation that publication of the content in the showcase of the Top 8 and Top Project, on InEight’s website and in the announcement of the Top Project as noted below.

Each eligible individual or entity that submits a project shall be referred to and defined as an “Participant” or collectively the “Participants.” By submitting a project for this Championship, you hereby consent to these Terms. Each Participant must comply with these Terms, and failure to comply may result in disqualification from the Championship as determine in InEight’s sole discretion.

Participants may submit as many project submissions as they desire, and all submissions must be delivered through the online process provided by InEight on the InEight.com website, no later than March 6, 2026.

There will be only one Top Project of the Championship.

4. Top Project Selection

InEight will review all submissions, and select the final eight (8) top projects – Top 8 – to be placed into a head-to-head showcase of three (3) total rounds. The selected project from each matchup or round will be determined by a public vote. Voting will be open for each matchup for approximately one week. During which voters may cast no more than one vote per day. The submission with the most valid number of votes during the matchup will move on to the next round of the championship. In the event of a tie in voting, the winner will be determined by a tiebreaker which shall be the earliest submission timestamp.

Each Participant, by participating in this Championship, affirms and agrees that Participant: (i) is eligible for the Championship and is in compliance with these Terms; (ii) releases InEight and its parent companies, subsidiaries, affiliates and/or related companies and each of their employees, directors, officers, suppliers, agents, administrators, licensees, representatives, advertising, media buying and promotional agencies from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Championship, including but not limited to costs, injuries, losses related to rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; (iii) is willing to cooperate in good faith with the InEight, its agents and any advertising agencies or publications to coordinate the announcement of the Top Project; and (iv) to the extent permitted by applicable law, grants InEight a non-exclusive, worldwide, royalty-free license, in InEight’s sole discretion, to produce, reproduce, publish, reproduce, convert, broadcast, communicate by telecommunication, exhibit, distribute, translate, adapt and otherwise use and re-use the Participant’s name, submission, likeness, and other information provided by Participant in connection with the Championship in any and all media now in connection with the Championship and exploitation thereof.

5. Championship Top Project Announcement

The Top Project of the Championship will be announced in an advertisement by InEight in Engineering News-Record magazine or similar trade publication. As a Participant in the Championship, you agree that if your submission is the Top Project, you agree to all third-party terms and conditions that may be applicable to the announcement of your submission as the Top Project in such advertisement.

6. Content License

Participants, by making a submission to the Championship, represent it has the right to, and hereby does grant to, InEight the right to use Participants name, registered trademarks and other marks/logos, along with any and all other content in their project submission, in connection with conducting the Championship, including without limitation the publication thereof on InEight’s website, and third party publications, to display and announce the projects in the Championship, as applicable and as provided herein.

7. Limitation of Liability/Publicity

By entering the Championship, each Participant: (a) acknowledges compliance with these Terms, including all eligibility requirements; (b) agrees to be bound by the decisions of InEight, which are final and binding in all respects; (c) agrees that the InEight has sole discretion to resolve any disputes as it sees fit; and (d) agrees that neither the Participant nor Participant’s, successors, or assigns will assert any claim related to damages, losses or injuries against the InEight or its parents, affiliates, agents, advertising or promotion agencies, vendors, and each of their respective employees, shareholders, directors, officers, members, personnel, agents and assigns.

InEight or its related parents, affiliates, agents, advertising or promotion agencies, vendors, and each of their respective employees, shareholders, directors, officers, members, personnel, agents and assigns: (i) make no warranty, guaranty or representation of any kind concerning the Championship; (ii) disclaim any implied warranty; (iii) are not in any way responsible or liable for damage, loss or injury of any kind, actually or allegedly arising from entry into the Showcase or the announcement of the Top 8 and/or Top Project; (iv) disclaim any responsibility for any actual or alleged loss (financial or otherwise), injury or damage to persons or property which may be caused directly or indirectly, in whole or in part, from downloading any material related to the Championship from any website, regardless of whether the material was prepared by the InEight or a third party;. By entering the Championship, each Participant consents to future communications being sent to the Participant, subject to a right to “opt out” and cease all future correspondence.

8. Release/Indemnity

By participating in the Championship, all Participants agree to release and hold harmless InEight and its parent, affiliates, agents, advertising and promotional agencies, vendors, and each of their respective employees, shareholders, directors, officers, members, personnel, agents, attorneys and assigns (all such individuals and entities collectively referred to herein as the “Releasees”) from any and all damages, injuries, claims, causes of action, or losses of any kind resulting in whole or in part, directly or indirectly, from such Participant’s participation in the Championship, any breach of these Terms, or announcement of the project in the round of Top 8 or Top Project, including without limitation: personal injury, death, property damage, defamation, infringement of intellectual property rights, and claims based on the rights of publicity and privacy.  THIS LIMITATION OF LIABILITY IS A COMPREHENSIVE LIMITATION OF LIABILITY OF ANY KIND, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES; LOSS OF DATA; INCOME OR PROFIT; LOSS OR DAMAGE TO PROPERTY; CLAIMS OF THIRD-PARTIES, AND ANY OTHER DAMAGES, AND THE RIGHT TO HAVE ANY DAMAGES MULTIPLIED OR OTHERWISE INCREASED.  Each Participant further agrees to fully indemnify the Releasees from any and all claims by third parties relating to or arising out of the Participant’s participation in the Championship, without limitation.

9. Privacy

By participating in the Championship, each Participant: (a) grants to the InEight and its respective authorized agents the right to use Participant’s name, address, e-mail address, and such other personal information provided in connection with the Championship (if any) (“Personal Information”) for the purposes of administering the Championship; and (b) acknowledges that the InEight may disclose Participant’s Personal Information to third-party agents and service providers of InEight in connection with the Championship. Provided InEight will only use such Personal Information as needed to publish Participant’s participation in the Championship, and will otherwise not share or publicly disclose such Personal Information in any manner or for any other purposes by InEight or any related entities, unless Participant has otherwise agreed. InEight will use the Participant’s Personal Information only for identified purposes and will protect the Participant’s Personal Information in a manner that is consistent with the InEight’s privacy policy. 10. Dispute Resolution

All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of the Participant and InEight in connection with the Championship, shall be governed by, and construed in accordance with, the laws of the State of Nebraska without giving effect to any choice of law or conflict of law rules (whether of the State of Nebraska or any other jurisdiction). Any and all disputes, claims and causes of action arising out of or connected with this Championship, shall be resolved individually, without resort to any form of class action. All claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorney’s fees. The sole proper venue for the resolution of any dispute shall be the State of Nebraska, County of Douglas, and each Participant hereby consents to the jurisdiction of the courts located therein.

11. Termination

InEight reserves the right, in its sole discretion, to terminate the Showcase, in whole or in part, and/or modify, amend or suspend the Showcase, and/or these Terms in any way, at any time, for any reason without prior notice.

12. Severability

If any term or provision of these Terms is declared invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby and such provision shall be ineffective only to the extent of such invalidity, illegality or unenforceability.
